We will not discriminate against you for exercising these rights. 1) Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the websites, landing pages, and online resources operated by Momentum Operating System, LLC (“Sales Momentum,” “we,” “us,” “our”), including https://www.salesmomentum.io/ and any related apps, content, products, and services (collectively, the “Services”).
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date above reflects the current version. Material changes will be posted on this page (and, where required, notified to you). Continued use of the Services after changes means you accept them.

3) Accounts & Accuracy of Information

You may need an account to access certain features. You agree to provide accurate and complete information, keep your credentials confidential, and be responsible for all activity under your account. We may suspend or terminate accounts for violation of these Terms or applicable law.

4) Permitted Use; Prohibited Conduct

You may use the Services only for lawful, internal business purposes and in accordance with these Terms.

You agree not to:

  • copy, scrape, crawl, mirror, or frame the Services;
  • upload malware or interfere with security or operation;
  • infringe intellectual-property or privacy rights;
  • send spam or unlawful/unsolicited communications via or in connection with the Services;
  • collect or submit sensitive data (e.g., SSNs, full payment card numbers) through fields not intended for that purpose;
  • use the Services to harass, abuse, or target others.

We may investigate violations and cooperate with law enforcement.

5) Intellectual Property

The Services and all related content, look-and-feel, software, text, images, video, audio, logos, and trademarks are owned by Sales Momentum or our licensors and are protected by IP laws. Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes. No other rights are granted. Do not remove copyright, trademark, or attribution notices.

6) Orders, Subscriptions, & Payments

If you purchase products or services (including subscriptions), you agree to pay the stated fees and taxes in U.S. Dollars using an authorized payment method. Recurring Subscriptions: unless otherwise stated, subscriptions auto-renew at the then-current rate until canceled. You can cancel by contacting info@salesmomentum.io or via your account settings; please allow [10] days before the next billing date for cancellation to take effect. Past charges are non-refundable unless required by law.

Refunds

Unless a specific order form or program page states otherwise, fees are non-refundable once services or digital materials are delivered or a subscription period has begun. If we offer a guarantee on a particular program, the guarantee terms on that order page control.

We may decline or cancel orders, and we may modify pricing and packaging prospectively with notice.

7) Third-Party Tools & Links

The Services may integrate with or link to third-party platforms (e.g., HubSpot, Google, Meta). Those providers are not controlled by us and have their own terms and privacy policies. We are not responsible for third-party sites, tools, outages, or changes.

8) Testimonials & User Content

If you submit testimonials, reviews, images, videos, comments, or other content (“User Content”), you grant Sales Momentum a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display such content for our marketing and operational purposes, subject to applicable law and our Privacy Policy. You represent you have all rights to grant this license, and that your User Content is accurate, lawful, and non-infringing. We may edit or remove User Content at our discretion.

9) Your Legal Compliance

You are solely responsible for complying with all laws applicable to your business and your use of the Services, including but not limited to advertising, privacy, anti-spam (e.g., CAN-SPAM), telemarketing/SMS (e.g., TCPA), and consumer-protection laws. You are responsible for all taxes related to your purchases and your business operations.

10) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALES MOMENTUM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not guarantee any particular business results, revenue, or outcomes. Your results depend on your market, offer, execution, and other factors outside our control.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALES MOMENTUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SALES MOMENTUM IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations—those limits apply to the maximum extent permitted.

12) Indemnification

You agree to defend, indemnify, and hold harmless Sales Momentum and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your business’s products, services, or communications.

13) Electronic Communications; Notices

By using the Services, you consent to receive electronic communications from us. Notices will be sent to the contact information you provide or posted within the Services and are effective when sent or posted.

14) Severability; Waiver; Entire Agreement

If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable order form or program-specific terms, constitute the entire agreement between you and Sales Momentum.
